You do have two layer 3 subnets and broadcast domains.
Note that transparent mode expects that it is being inserting into a single broadcast domain.
So if you use the same device for both of these links you will have to carefully construct your layer 2 policies to prevent leakage between the two broadcast domains directly at layer 2.
And note that your configuration will be an unsupported one as far as JTAC is concerned.
